Job Description
TMG's Contract Administrator is responsible for drafting, reviewing, negotiating, tracking and managing the terms and conditions of Owner, Design Professional, Subcontractor and other third party contractual relations to facilitate entering into timely contracts that responsibly minimize risks to TMG. TMG's Contractor Administrator role is to provide TMG with the subject matter expertise needed to understand and contractually transfer risk that is associated with IDIQ, design-build and lump sum construction contract types of work. Additionally, the Contract Administrator's role is to track and manage TMG's list of small and disadvantaged businesses, to participate in the subcontractor prequalification process, and to participate in the development and documentation of corporate policies and procedures.
Contract Administrator's Responsibilities
- Provide legal and financial due-diligence to prequalify new subcontractors that TMG contemplates entering into a Master Agreement with;
- Draft, negotiate, track and manage the business related terms and conditions associated with subcontract Master Agreements;
- Work with TMG Business Development to review draft contracts and insurance requirements prior to proposal/bid submission;
- Review Owner contracts for matters involving risk, insurance coverage requirements, and operational issues that could create un-manageable and/or excessive risks that TMG needs to manage;
- Work with TMG's operational staff, it's leadership and third parties to identify contractual terms and conditions that are indifferent to the interests of the varying stakeholders for the purpose of negotiating language that is acceptable to all parties;
- Utilize TMG IT infrastructure to track the status of contracts and subcontract Master Agreements in a manner that copies of contracts are available real- time to extended stakeholders when needed;
- Work with TMG Accounting to identify, to add and to adjust insurance requirements on a project-by-project basis as needed;
- Work with TMG's Leadership to define and standardize acceptable levels of risk. Teach risk management throughout the TMG organization;
- Track the small business and minority status of the subcontractors that work with TMG. Make the information readily available to the organization utilizing TMG IT Infrastructure for the purpose of TMG being able to meet minority goals;
- For each new contract that TMG undertakes, identify and provide TMG Operations and Accounting with contract flow-down, regulatory and other contract compliance language. Ensure compliance with all FAR regulations, Buy America Act, etc...
- Provide legal and financial due-diligence to associate with TMG's subcontractor Bond Waiver process;
- Draft and review Joint Venture (JV) Mentoring and Operating Agreements to include compliance with all SBA rules and regulations;
- Draft and review Partnering Agreements;
- Identify any regulatory reporting requirements that are associated with new contracts that TMG undertakes and work with TMG Operations and Accounting to ensure timely reporting;
- Work with company advisors, such as auditors, bankers, insurance agents, bonding agents, surety company representatives, consultants and lawyers as needed;
- Attend industry appropriate events and networking to apprise TMG leadership of market changes to risk management and compliance.
Education and/or experience
- Bachelor's degree in Business Administration, Paralegal or a related degree with no less than seven (7) years of experience managing risk associated with IDIQ, lump sum and design-build contracting;
- Strong communication skills with the ability to effectively interact at all levels of the organization;
- Proven past experience serving as a contract administrator;
- Knowledge of federal, state and local laws related to the construction industry;
- Proficiency with spreadsheets, Email and other software used in the construction industries;
- Knowledge of Microsoft Office software, managing information in a database centric networked environment;
- Ability to read, analyze, and interpret general business periodicals, professional journals, technical procedures, or governmental regulations.
